These terms govern your purchase and use of any product sold by Ubwiru AI ("we", "us") through ubwiruai.com. By purchasing or using a product, you agree to these terms in full. If you don't agree, don't purchase or use our products.
Each product (Ubwiru Email Agent, Ubwiru Lead Agent, Ubwiru Invoice Agent, Ubwiru Onboarding Agent, Ubwiru Receptionist Agent, Ubwiru Social Agent, Ubwiru Document Agent, Ubwiru Privacy Agent, Ubwiru Site Doctor, and any future products we add) is sold and licensed separately. Purchasing one does not grant you rights to any other product. A license is issued to your business, tied to a specific product, and is valid for one year from issue unless otherwise stated at purchase.
Our products are currently offered in beta, shown by the version badge (e.g. "Beta v0.1") displayed in the app and on this site. We take beta seriously — it means actively maintained and genuinely usable software, refined through real feedback from real customers like you, not an early experiment we're not standing behind. During this period: features, the user interface, and pricing may change as we improve the product; you may encounter bugs more often than you would with long-established software, and we prioritize fixing reported issues quickly; and we cannot guarantee uninterrupted availability of every feature at every moment. A license purchased during beta remains valid for its full paid term regardless of these changes — you will not lose access or be asked to pay again because a product moved from beta to a stable release. We'll always tell you plainly, through the app or this site, when a product's status changes.
We grant you a limited, non-exclusive, non-transferable license to install and use the purchased product on your own computer(s) for your own business, for the license period. You may not resell, sublicense, reverse-engineer, decompile, sell, rent, lease, or redistribute the software, or share your license file with another business. This license does not transfer any ownership of the software to you — see Section 13 (Intellectual Property).
Prices are shown on our Pricing page and charged as a single annual payment at the time of purchase, via Stripe (card) or MTN Mobile Money. There is no automatic recurring subscription — your license simply expires at the end of the paid period, and you may choose to renew.
If a product genuinely doesn't work as described and we're unable to resolve the issue through support, contact us at hello@ubwiruai.com within 14 days of purchase to discuss a refund. Refunds are not guaranteed for change-of-mind purchases, incompatible hardware discovered after purchase, or misuse outside our documented setup instructions — we'll always try to help you get the product working first.
Our products use AI models to draft emails, extract invoice data, score leads, generate blog posts, generate social media posts, summarize and compare documents, and hold voice conversations. AI output can be incomplete, inaccurate, or entirely wrong. You are solely responsible for reviewing any AI-drafted content before acting on it or sending it, and for independently verifying any extracted or summarized data (e.g., invoice amounts, document summaries, comparison results) before relying on it for accounting, legal, financial, medical, or other business decisions. We are not liable for any losses, damages, or consequences arising from AI output that was not reviewed, or that was reviewed and relied upon anyway.
Nothing generated by any Ubwiru AI product — including summaries, comparisons, extracted data, or conversational answers — constitutes legal, medical, financial, tax, or other professional advice, regardless of the industry or profession you use it in. Our products (including Ubwiru Document Agent, when used by legal, healthcare, insurance, or financial professionals) are tools to help you locate and organize information faster; they are not a substitute for your own professional judgment, and using them does not create any professional relationship between you and Ubwiru AI. You remain fully responsible for any professional decisions, filings, advice, or conclusions you make using our products.
Our products and this website are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that any product will be uninterrupted, error-free, secure, or that it will meet your specific requirements, or that any AI output will be accurate or complete. You use our products at your own risk.
To the fullest extent permitted by law: Ubwiru AI, its owners, and employees will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or related to your purchase or use of our products or this website, even if we have been advised of the possibility of such damages. Our total aggregate liability for any and all claims arising from or related to a specific product will not exceed the amount you actually paid us for that specific product in the twelve (12) months preceding the claim. These limitations apply regardless of the legal theory the claim is based on (contract, tort, negligence, or otherwise).
You agree to indemnify, defend, and hold harmless Ubwiru AI and its owners and employees from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of any product; (b) content you send, post, or generate using our products, including AI-drafted communications or social media content; (c) your violation of these terms; or (d) your violation of any law or third-party right, including any professional-conduct obligation applicable to your business.
Our products and website rely on third-party services we don't control, including Stripe and MTN Mobile Money (payments), and a local AI engine each product runs on your computer. We are not responsible or liable for any failure, outage, delay, security incident, or error caused by these third-party services, and your use of them is subject to their own terms.
Ubwiru AI retains all right, title, and interest in and to our products, website, trademarks, and underlying software, including all intellectual property rights therein. Nothing in these terms transfers any such ownership to you. Any feedback or suggestions you provide about our products may be used by us without any obligation to compensate you.
As between you and Ubwiru AI, you retain all ownership rights in your own business data, content, and materials processed by our products (including emails, invoices, leads, and documents). We claim no ownership over your data. Because our products run locally on your own computer, your data is processed and stored on your hardware, not on servers we operate — see our Privacy Policy for further detail on data handling.
We may revoke a license if these terms are violated (e.g., resale, sharing a license across businesses, or fraudulent payment). Revocation applies to future access; it does not retroactively affect your right to have used the product during a period you validly paid for. Because your data is processed and stored locally on your own computer rather than on our servers, termination or expiry of a license does not require any data return or deletion action on our part — your data remains on your own hardware, under your own control, and you are responsible for it after your license ends. We do not retain copies of your business data upon termination.
We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, internet or power outages, government action, or failures of third-party services we depend on.
If a dispute arises, you agree to first contact us at hello@ubwiruai.com and attempt to resolve it informally for at least 30 days before pursuing any formal claim. If it isn't resolved informally, both parties agree that any dispute will be resolved through binding arbitration seated in Kigali, Rwanda, conducted in English, on an individual basis rather than in court, except that either party may bring an individual claim in small-claims court where applicable. Absent agreement otherwise, arbitration will be administered under the rules of the Kigali International Arbitration Centre (KIAC). You and Ubwiru AI each waive any right to a jury trial or to participate in a class action.
If any provision of these terms is found unenforceable, the remaining provisions continue in full force. These terms (together with our Privacy Policy) are the entire agreement between you and Ubwiru AI regarding our products, superseding any prior agreements or understandings.
We may update these terms from time to time. Continued use of a product after an update constitutes acceptance of the revised terms.
These terms are governed by the laws of Rwanda, without regard to conflict-of-law principles. Subject to Section 16 (Dispute Resolution), any legal action not subject to arbitration will be brought exclusively in the courts of Rwanda.
